2. Requests and Quotes
- 2.1. Each request for Services submitted to Newvan AI is subject to these Terms and Conditions unless different written terms are expressly agreed by the parties.
- 2.2. A request for a Quote does not create a binding obligation on either party to proceed with a project.
- 2.3. No Contract exists until the Client accepts the applicable Quote or the parties otherwise confirm the project in writing.
- 2.4. Newvan AI may issue a Quote after receiving sufficient information regarding the requested Services, including, where applicable, the language pair, project volume, file type, task specifications, quality requirements, deadline, and other relevant requirements.

4. Client Responsibilities

- 4.2. The Client is responsible for ensuring that Source Materials do not unlawfully infringe the rights of any third party.

- 5.3. Corrections do not include changes resulting from revised instructions, new Source Materials, changes in Client preference, changes in project scope, or requirements not included in the original Quote.
- 5.4. AI-data, annotation, transcription, linguistic evaluation, and other data-related projects may be subject to project-specific quality metrics, acceptance criteria, sampling procedures, or quality thresholds.

- 6.7. Additional work requested outside the agreed scope may be subject to additional charges.
7. Cancellation and Changes
- 7.1. A Client may request cancellation or modification before work begins, subject to the applicable Quote and agreed cancellation terms.
- 7.2. Where work has already commenced, the Client may remain responsible for work completed, committed resources, approved third-party costs, and other reasonable costs incurred.
- 7.3. Any cancellation, suspension, or material change should be communicated to Newvan AI in writing.

9. Confidentiality
- 9.1. Each party acknowledges that it may receive confidential information belonging to the other party in connection with a project.
- 9.2. Each party agrees to use reasonable measures to protect Confidential Information and not disclose it except as reasonably necessary to perform the Contract or as otherwise authorized in writing.
- 9.3. Newvan AI may disclose Confidential Information to authorized employees, contractors, freelancers, language professionals, subcontractors, professional advisers, and service providers where reasonably necessary to perform the Services.
- 9.4. Newvan AI will take reasonable steps to ensure that individuals or service providers receiving confidential project information are subject to appropriate confidentiality obligations.
- 9.5. Confidential Information may also be disclosed where required by applicable law, court order, regulatory authority, or other lawful process.
- 9.6. Where a separate NDA is executed, the NDA will apply to the confidential information covered by that agreement and will prevail over these Terms to the extent of any conflict.
10. Data Protection and Security
- 10.1. Newvan AI will take reasonable measures to protect information provided in connection with the Services.
- 10.2. The Client should provide only information reasonably necessary for the requested Services and should not provide sensitive or restricted information unless the project has been specifically arranged to handle such information.

- 12.2. Newvan AI's liability for a particular project will be subject to the limitations, exclusions, and remedies expressly agreed in the applicable Contract, except where liability cannot legally be limited.
- 12.3. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
13. General
- 13.1. These Terms and the applicable Quote constitute the agreement between the parties concerning the relevant Services, subject to any separate written agreement applicable to the project.
- 13.2. A separate NDA, statement of work, purchase order, or service agreement may contain additional terms applicable to a specific project.
- 13.3. In the event of a conflict between these Terms and a separately signed project agreement, the separately signed agreement will prevail to the extent of the conflict.
- 13.4. Any amendment to a Contract should be agreed in writing by the parties.
- 13.5. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.
- 13.6. The Client may not assign its rights or obligations under a Contract without Newvan AI's prior written consent, except where permitted by applicable law.
